SMC registration in Pakistan: a company for one owner

An SMC (single member company), also written SMC Pvt Ltd, is a private company with one owner who has limited liability. To register one with SECP you need the owner's CNIC, a nominee who steps in if the owner dies, a proposed company name and the memorandum and articles. What does SMC Pvt Ltd mean?

SMC Pvt Ltd means a Single Member Company (Private) Limited. It is a private limited company with one shareholder instead of the usual two or more, registered with SECP under the Companies Act, 2017. "Pvt" is short for "private", and "Ltd" for "limited", meaning the owner's liability is limited to the company's share capital. SECP requires the company name to show that it is an SMC; check the exact name format on the SECP website when you reserve the name.

If you have co-founders, you need a regular private limited company instead.

Why choose an SMC instead of a sole proprietorship?

A sole proprietor is personally liable for business debts. An SMC is a separate legal person, so your liability is limited to the capital you invested. That matters for contracts, banking and credibility. Compare all options at business registration in Pakistan.

What is the SMC nominee requirement?

You name a nominee in the incorporation documents. The nominee is not an owner today; they would take over your shares on your death. You can change the nominee later by filing with SECP.

What do you need to register an SMC?

Your CNIC, nominee details, a company name, the MOA and AOA and a registered address. See documents required for company registration. The sole member usually also acts as director.

Can you convert an SMC later?

Yes. If you add a co-founder you can convert to a private limited company. The Companies Act, 2017 allows conversion in both directions.
