What does Pvt Ltd mean?
Pvt Ltd stands for private limited. A Pvt Ltd company in Pakistan is a company whose members have limited liability, whose shares cannot be offered to the public and whose transfer is restricted by its articles. A company with only one member is registered as an SMC (Single Member Company) Pvt Ltd instead.
What are the requirements for a private limited company?
- At least two members, up to fifty (not counting employees).
- At least two directors.
- Memorandum and articles of association.
- A registered office in Pakistan.
- A reserved company name.
Private limited or SMC: which fits you?
Choose private limited if you have or expect co-owners or investors. Choose an SMC if you are the only owner. You can convert between the two later.
What are the benefits?
Limited liability, a separate legal identity, easier investment and clearer credibility with banks and larger customers.
How do you register one?
Follow how to register a company in Pakistan, prepare documents from documents required for company registration and note the fee in company registration fees in Pakistan.
Directors and members: what is the difference?
Members (shareholders) own the company. Directors manage it. In a small company the same people are usually both, but the roles are legally separate. Members vote on major decisions such as changing the articles. Directors run day-to-day affairs and sign filings.
What compliance follows registration?
A registered company must keep statutory records, file annual returns and financial statements with SECP, and file its own income tax return with FBR. Set up tax first: FBR registration after SECP incorporation and corporate tax consultant services in Pakistan.
