Documents required for company registration in Pakistan

For company registration with SECP you generally need CNIC copies of every director and member, the memorandum and articles of association, a registered office address, consent to act as director and, for an SMC, nominee details. Foreign directors provide passport copies.

Checklist for a private limited company

  • CNIC (or passport) of each member and director.
  • Proposed company name with alternatives.
  • Memorandum of association and articles of association.
  • Registered office address in Pakistan.
  • Directors' consent and declarations.

Checklist for an SMC

The same as above, plus the nominee's details. The nominee is the person who takes over the shares if the sole member dies; nominee particulars are filed with SECP.

What are the MOA and AOA?

The memorandum of association in Pakistan sets out the company's name, objects and capital. The articles of association in Pakistan set the internal rules: how directors are appointed, how shares are transferred and how meetings run. Generic templates can leave gaps, so many founders have them drafted for their business activity.

Documents for foreign directors

Filing online needs a digital signature; see SECP online registration (eZfile, LEAP and digital signature). Passport copies and, where required, attested documents. See foreign company registration in Pakistan.

Mistakes that delay SECP filings

  • Names spelled differently across CNIC, forms and the memorandum.
  • Unsigned or unscanned pages.
  • An address that cannot receive official mail.
  • Missing nominee details for an SMC.

Fix these before filing, not after a query: how to register a company in Pakistan.

Questions people ask about registration documents

Do I need a lawyer to draft the MOA and AOA?

Not legally, but careful drafting avoids later disputes.

Can I use a home address as the registered office?

It must be a real address in Pakistan where official mail can be received.

Do sole proprietors need these documents?

No. They only need their CNIC and details to register an NTN. See sole proprietorship.
