Company registration in Pakistan: what it involves and how to get it done

Company registration in Pakistan means incorporating with SECP under the Companies Act, 2017. You reserve a name, file your memorandum and articles with the required documents, pay the SECP fee and receive a certificate of incorporation. Then you register with FBR for an NTN.

What do you get from SECP company registration in Pakistan?

A separate legal entity that can own assets, sign contracts, open bank accounts and limit its owners' liability. Most founders choose a private limited company or an SMC.

Which structure should you choose?

Most people comparing structures are really choosing between four options: registering a company with SECP, or staying unregistered with FBR only as a sole proprietor or partnership. The table below is a starting point; each linked guide covers the detail.

Common business structures in Pakistan, compared
StructureOwnersLiabilityRegisters with
Sole proprietorship1Unlimited (personal)FBR only; see sole proprietorship registration
Partnership / AOP2 or moreUnlimited, sharedRegistrar of Firms and FBR; see partnership registration
SMC (single member company)1LimitedSECP; see SMC registration
Private limited company2 to 50LimitedSECP; see private limited company
LLP2 or more partnersLimitedSECP; see LLP registration

If you plan to raise outside investment, hire formally, sign contracts as a company, or simply want the owner's personal assets separated from business debts, a private limited company or SMC is usually the better fit over a sole proprietorship or plain partnership.

What is the process for registering a company with SECP?

  1. Choose the structure.
  2. Reserve a name. SECP reserves it for a period not exceeding sixty days.
  3. Prepare the MOA, AOA and director and member details.
  4. File through SECP's eServices portal (see SECP online registration and digital signature) and pay the fee.
  5. Receive the certificate of incorporation.
  6. Register with FBR and open a bank account.

Online company registration in Pakistan

You can register a company in Pakistan online. SECP accepts company incorporation online through its eZfile system, so no office visit is needed for most filings. Online company formation in Pakistan still needs the same documents as a paper filing: member and director details, the memorandum and articles, and a reserved name. Each person signing may need a digital signature or verified credentials.

Online registration is faster to submit, but it is not automatic. SECP still examines the application and may raise objections. Read how SECP online registration through eZfile and LEAP works, or follow the step-by-step guide to registering a company yourself. If you are comparing structures first, see private limited company registration and SMC registration.

What documents do you need?

  • CNICs (or passports for foreign directors) of all directors and subscribers.
  • Three proposed company names, in order of preference, for the name-availability check.
  • A registered office address in Pakistan.
  • Memorandum and Articles of Association (MOA and AOA), or SECP's standard-form versions for a simple private limited company.
  • Details of share capital and how it is divided among subscribers.
  • Contact details (mobile and email) for each director, since SECP verifies these during filing.

A full checklist by structure is in documents required for company registration.

How long does SECP registration take?

It depends on how complete the documents are and on any queries from SECP. Name reservation and incorporation can be filed together. SECP's own materials describe some straightforward, complete filings being confirmed within about a week through eServices, and name-availability decisions typically come back within a couple of working days. If SECP raises an objection, you get an email, correct the issue and resubmit through the same filing rather than starting over. Promises of an exact number of days should be treated with caution.

Worked example: registering a two-director private limited company

Two founders in Karachi want to incorporate a private limited company with Rs 100,000 in share capital, split evenly.

  1. They shortlist three possible names and run a name-availability search on SECP's eServices portal.
  2. One name is approved within a couple of working days; SECP reserves it for up to sixty days.
  3. They prepare the MOA and AOA (using SECP's standard templates for a simple case), list themselves as directors and subscribers, and confirm the registered office address.
  4. They file the incorporation application online, upload CNICs and the MOA/AOA, and pay the SECP fee for the Rs 100,000 capital tier.
  5. SECP reviews the filing. If nothing is queried, the certificate of incorporation and CUIN (Company Universal Identification Number) are issued electronically.
  6. With the certificate in hand, they register for an NTN on IRIS (free) and open a company bank account, which the bank will ask to see the certificate and MOA/AOA for.

Where this commonly slows down: a proposed name is too similar to an existing one, a director's CNIC details do not match NADRA's records, or the MOA's stated business objects are too vague. Each of these triggers an objection and a resubmission rather than an outright rejection.

Why do applications get objected to or delayed?

  • Name too similar to an existing company or trademark. Run a name search first, and consider checking trademark registration too, since a clear company name search does not guarantee the name is free to trademark.
  • Mismatched CNIC or contact details. Names, addresses or dates that do not match NADRA's or IRIS's records commonly trigger a query.
  • Vague or overly broad objects clause in the MOA, which SECP may ask you to narrow or clarify.
  • Incomplete subscriber or director information, such as a missing signature, photograph or nominee for an SMC.
  • Registered office address that cannot be verified, such as a P.O. box or an address with no supporting document.

Preparing documents completely the first time is the single biggest lever you have over how long registration takes.

Company registration services in Pakistan: do it yourself or hire?

The forms are online, so you can. Founders hire help for drafting the memorandum and articles, choosing the structure, and avoiding rejections. If you would like us to prepare and file for you, message us on WhatsApp.

Even founders who file everything themselves often still use a consultant for one narrow task, such as reviewing the objects clause before submission or resolving an objection quickly, rather than for the whole process.

What does registering a company cost?

SECP charges a filing fee that depends on your share capital, plus any professional fee. See company registration fees in Pakistan for how the fee is built up.
